Is it your first sprite with ps cs5?? I still use GIMP :P
You need to give some time for shading no need to hurry. You can shade better than that. There are some light pixels on your sprite which are mainly on his left arm and stomach. His eyes look weird. Just keep spriting. keep it up!

Well the pants and the sword are good... The eyes are weird and as drako said you can do better than that.

Yup it's cool but the breathing is the easiest animation. Are you planning to make it a character?

Ask for permission i don't see a reason why he would deny.
To me the breathing looks cool but also you can make it by moving i 1px up then arms 1px on the sides. And yeah, if you start him go make the walking, then heavy walking, then running etc...

its not realy a good idea to use sprites from other, since you need to draw sprites for all moves with the same quality.
