Seeing the two upper posters just laugh and tell you to fix something without pointing out how, made me wanna comment. You are actually pretty good. The shading is awesome for a beginner. Now the critics:
1. I think you used one of those bases that are here on LFE.(Alectric's, wasn't it?) Don't do that. Even if those are easier to use you need to make your own. Gad always says beginners should start using the original characters and practise on them 'till they are ready for their own bases. I do mine by getting a Dennis sprite, then i open a new layer, i do a line over him, delete his layer, make a new one, do the full character, delete the base layer. Easy? Try it.
2. The hair. They^ pointed out that the head is small. That's true but another thing that makes it like that is the hair. You made it behind the head. Try adding some hair on the forehead. Also you really need to shape your hair. Spend more time doing that. There is also mundvoll_'s hair tutorial. Try it.
3. Face and arms. The face is pretty important to do an awesome sprite. Some spriters spend a lot of time just drawing the faces. Never make the eyes look at us. Always have that white things the eyes have, not just black like it's on your sprite. The arms should always be the same size. On your sprite the left one is a big arm, bigger than the right one. Compare them until you think you are OK with the size. It will be better. Try it.

For easier understanding i tried to kinda fix the sprite. May look stupid but i did it fast. Here:

head isnt small, he didnt made his hair, look at original and his sprite hair size.
actualy i like that you know about shading, where light source.
you should work on proportions.
